1. Acceptance of Terms
By accessing or using any product, service, or website provided by KyotoTech LLC (合同会社KyotoTech) ("Company," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use our Services.
These Terms apply to all products and services operated by KyotoTech LLC, including but not limited to:
- KyotoTech Vault — cloud-based file storage and collaboration platform
- SaQura — cryptography library for .NET
- kyototech.co.jp — company website
- Any other software, API, or service provided by KyotoTech LLC
Product-specific terms (such as the SaQura License Agreement) supplement these Terms. In the event of a conflict, product-specific terms shall prevail for that product.
2. Description of Services
KyotoTech Vault
KyotoTech Vault is a multi-tenant file storage and secure sharing platform. Features include file upload, download, encryption at rest, virus scanning, folder management, collaboration spaces, and file sharing via access tokens. The Service is provided as a web application.
SaQura
SaQura is a commercial cryptography library for the .NET platform, distributed via NuGet. It provides encryption, hashing, key management, and licensing APIs.
Service Availability
We aim to provide reliable services but do not guarantee uninterrupted, error-free, or continuous availability. Services may be temporarily unavailable due to maintenance, updates, server failures, or other circumstances beyond our control.
3. User Accounts & Responsibilities
Account Registration
You may be required to create an account to access certain Services. You agree to provide accurate, current, and complete information during registration.
Account Security
You are solely responsible for:
- Maintaining the confidentiality of your account credentials (passwords, API keys, access tokens)
- All activities that occur under your account
- Notifying us immediately of any unauthorized access or use of your account
KyotoTech LLC shall not be liable for any loss or damage arising from unauthorized access to your account resulting from your failure to secure your credentials.
Encryption Keys
CRITICAL: For services that involve encryption (KyotoTech Vault, SaQura), you are solely responsible for the management, backup, and safekeeping of your encryption keys. KyotoTech LLC does not store, manage, or have access to your encryption keys. If you lose your encryption keys, your encrypted data cannot be recovered. KyotoTech LLC accepts no responsibility for data loss resulting from lost, forgotten, or compromised encryption keys.
4. Acceptable Use
You agree not to use our Services to:
- Upload, store, or distribute illegal content, including but not limited to content that violates intellectual property rights, child exploitation material, or content that promotes violence or terrorism
- Upload, store, or distribute malware, viruses, trojans, ransomware, or any other malicious software
- Engage in unauthorized access, hacking, or security testing of our systems
- Circumvent or attempt to circumvent security measures, access controls, or usage limitations
- Use the Services for spamming, phishing, or other fraudulent activities
- Interfere with or disrupt the Services, servers, or networks
- Violate any applicable local, national, or international law or regulation
- Resell, sublicense, or commercially redistribute access to the Services without written authorization
We reserve the right to suspend or terminate your access to the Services immediately and without prior notice if we reasonably believe you have violated these Terms.
5. User Content & Data
Ownership
You retain all ownership rights to any content, files, or data you upload to our Services ("User Content"). KyotoTech LLC does not claim any ownership of your User Content.
Your Responsibility
You are solely and exclusively responsible for:
- All content you upload, store, share, or transmit through our Services
- Ensuring you have all necessary rights, licenses, and permissions for your content
- Maintaining independent backups of your data outside of our Services
- The legality of your content under all applicable laws and regulations
- Any consequences arising from sharing your content with third parties through collaboration spaces, share links, or other sharing features
No Backup Guarantee
While we implement reasonable measures to protect data integrity, KyotoTech LLC does not guarantee the preservation, backup, or recoverability of your data. You are solely responsible for maintaining your own backups. We strongly recommend keeping copies of all important files outside of our Services.
Data Loss
KyotoTech LLC shall not be liable for any loss, corruption, deletion, or unauthorized access to your data, whether caused by system failures, software errors, security breaches, human error, natural disasters, third-party actions, or any other cause whatsoever. This includes but is not limited to data loss resulting from:
- Server hardware or software failures
- Data center outages or disasters
- Software bugs or errors
- Security breaches or cyberattacks
- Accidental or intentional deletion
- Migration, update, or maintenance operations
- Termination or suspension of your account
- Discontinuation of the Service
Content Removal
We reserve the right to remove any User Content that violates these Terms, applicable law, or that we reasonably believe poses a risk to our Services, our users, or third parties, without prior notice and without any obligation to provide justification.
6. Security & Virus Scanning
Encryption
KyotoTech Vault encrypts files at rest using AES-256 encryption. While we implement strong encryption measures, no encryption system is perfectly secure. KyotoTech LLC does not guarantee that encryption cannot be compromised.
Virus & Malware Scanning
IMPORTANT DISCLAIMER: KyotoTech Vault performs automated virus and malware scanning on uploaded files using third-party scanning technology (ClamAV). However:
- No virus scanner can detect 100% of all threats. New, unknown, or sophisticated malware may not be detected.
- KyotoTech LLC does not guarantee that files stored in or downloaded from the Service are free from viruses, malware, trojans, ransomware, or any other malicious code.
- KyotoTech LLC shall not be liable for any damage, data loss, system compromise, or other harm caused by viruses, malware, or any malicious content uploaded, stored, downloaded, or shared through the Service.
- You are solely responsible for implementing your own virus protection measures on your devices and systems.
- You download and use files from the Service entirely at your own risk.
Security Measures
We implement industry-standard security measures including TLS encryption for data in transit, access controls, and regular security updates. Despite these measures, no system connected to the internet is completely secure. KyotoTech LLC cannot and does not guarantee that unauthorized third parties will never be able to access your data.
Shared Content
When you share files or create collaboration spaces, you acknowledge and accept that:
- Shared content may be accessed, downloaded, and further distributed by recipients
- KyotoTech LLC has no control over how recipients use shared content
- You are solely responsible for choosing appropriate sharing settings and recipients
- KyotoTech LLC is not responsible for any unauthorized redistribution or misuse of shared content by third parties
7. Disclaimer of Warranties
ALL SERVICES, SOFTWARE, AND CONTENT PROVIDED BY KYOTOTECH LLC ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
To the fullest extent permitted by applicable law, KyotoTech LLC expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to:
- Implied warranties of merchantability — we do not warrant that the Services will meet your requirements or expectations
- Fitness for a particular purpose — we do not warrant that the Services are suitable for any specific use case
- Non-infringement — we do not warrant that the Services do not infringe on third-party rights
- Accuracy or reliability — we do not warrant that the Services will be accurate, reliable, or error-free
- Availability — we do not warrant uninterrupted, timely, or secure access to the Services
- Data integrity — we do not warrant that your data will be preserved, not corrupted, or recoverable
- Security — we do not warrant that the Services are immune to unauthorized access, hacking, or data breaches
- Virus-free — we do not warrant that files processed by the Services are free from viruses or malicious code
You acknowledge that you use the Services entirely at your own risk. Any material downloaded, uploaded, or otherwise obtained through the use of the Services is done at your own discretion and risk.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KYOTOTECH LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, REGARDLESS OF THE CAUSE OF ACTION OR THEORY OF LIABILITY.
This limitation applies to, but is not limited to, damages arising from:
- Loss, corruption, or unauthorized access to data or files
- Loss of profits, revenue, business, or anticipated savings
- Loss of goodwill or reputation
- System damage caused by viruses, malware, or malicious content
- Unauthorized access to or alteration of your account, data, or transmissions
- Service interruptions, downtime, or unavailability
- Errors, bugs, or defects in the software or Services
- Actions or omissions of third parties (including other users, hosting providers, or integration partners)
- Reliance on any information or content obtained through the Services
- Any other matter relating to the Services
Maximum Liability
In any event, the total cumulative liability of KyotoTech LLC for all claims arising out of or related to these Terms or the Services shall not exceed the greater of (a) the amount you have paid to KyotoTech LLC in the twelve (12) months preceding the claim, or (b) one hundred US dollars (USD $100).
Acknowledgment
You acknowledge and agree that the limitations of liability set forth in this section are fundamental elements of the agreement between you and KyotoTech LLC and that KyotoTech LLC would not provide the Services without such limitations.
9. Indemnification
You agree to defend, indemnify, and hold harmless KyotoTech LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:
- Your use of the Services
- Your User Content
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Your violation of any third-party rights, including intellectual property, privacy, or other proprietary rights
- Any claim that your User Content caused damage to a third party
- Your sharing of files or content with third parties through the Services
10. Intellectual Property
All intellectual property rights in the Services, software, website, documentation, and brand assets (including source code, designs, logos, trademarks, and trade names) are owned by or licensed to KyotoTech LLC and are protected by international copyright, trademark, and other intellectual property laws.
You may not copy, modify, distribute, reverse-engineer, decompile, or create derivative works based on our Services or software, except as expressly permitted by applicable law or separate written agreement.
11. Third-Party Services
Our Services may integrate with or contain links to third-party services, websites, or content. KyotoTech LLC:
- Does not endorse, control, or assume responsibility for any third-party services
- Is not liable for the content, privacy practices, or conduct of third-party services
- Does not guarantee the availability, accuracy, or security of third-party services
Your use of third-party services is at your own risk and subject to the terms and policies of those third parties.
12. Termination
By You
You may terminate your account at any time by contacting us. Upon termination, your right to use the Services ceases immediately.
By Us
We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. Grounds for termination include but are not limited to violation of these Terms, illegal activity, non-payment, or extended inactivity.
Effect of Termination
Upon termination:
- All rights and licenses granted to you under these Terms terminate immediately
- You must cease all use of the Services
- We may delete your account data, including all stored files, without prior notice and without any obligation to provide copies
- Sections relating to Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law shall survive termination
13. Force Majeure
KyotoTech LLC shall not be liable for any failure or delay in performing its obligations under these Terms due to causes beyond its reasonable control, including but not limited to:
- Natural disasters (earthquakes, floods, typhoons, tsunamis)
- Pandemics or epidemics
- War, terrorism, civil unrest, or government actions
- Power outages, internet or telecommunications failures
- Cyberattacks, DDoS attacks, or other malicious interference
- Failures of third-party service providers, hosting providers, or infrastructure
- Labor disputes or strikes
- Changes in applicable law or regulation
14. Dispute Resolution
Governing Law
These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to conflict of law principles.
Jurisdiction
Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the Kyoto District Court (京都地方裁判所) as the court of first instance.
Informal Resolution
Before filing any formal dispute, you agree to first contact us at support@kyototech.co.jp and attempt to resolve the dispute informally for at least thirty (30) days.
Language
These Terms are provided in English. In the event of any inconsistency between this English version and any translated version, the English version shall prevail.
15. Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Waiver of Class and Collective Actions
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND KYOTOTECH LLC AGREE THAT ANY DISPUTES, CLAIMS, OR CONTROVERSIES ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY.
YOU EXPRESSLY WAIVE ANY RIGHT TO:
- Participate in a class action, collective action, or representative action against KyotoTech LLC
- Participate in class-wide arbitration or any arbitration involving joint or consolidated claims
- Act as a private attorney general or in any other representative capacity
- Combine your claim with the claims of any other person or entity
Individual Claims Only
You agree that you may only bring claims against KyotoTech LLC in your individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. Any adjudicator (whether a court or arbitrator) may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
Jury Trial Waiver
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND KYOTOTECH LLC WAIVE ANY RIGHT TO A JURY TRIAL FOR ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES.
Opt-Out Right (U.S. Users)
If you are located in the United States, you may opt out of this Class Action Waiver by sending written notice to support@kyototech.co.jp within thirty (30) days of first accepting these Terms. Your notice must include your full name, email address associated with your account, and a clear statement that you wish to opt out of the Class Action Waiver. If you opt out, all other provisions of these Terms shall remain in effect.
Severability of This Section
If any part of this Class Action Waiver is found to be unenforceable in a particular jurisdiction, the remainder of this section shall remain in full force and effect, and the unenforceable portion shall be severed and shall not affect the enforceability of the remaining provisions.
16. Changes to These Terms
KyotoTech LLC reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the effective date. Your continued use of the Services after such changes constitutes your acceptance of the modified Terms.
It is your responsibility to review these Terms periodically. If you do not agree with the modified Terms, you must stop using the Services.
17. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
