1. Acceptance of Terms
By purchasing, installing, deploying, or using KyotoTech Map Server or any associated software, services, SDKs, or documentation provided by KyotoTech LLC (合同会社KyotoTech) ("Company," "we," "us," or "our"), you ("Customer," "Licensee," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Software.
These Terms apply specifically to the KyotoTech Map Server product and supplement the KyotoTech General Terms of Service. In the event of a conflict, these product-specific terms shall prevail for the KyotoTech Map Server product.
If you are accepting these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Definitions
- "Software" means the KyotoTech Map Server platform, including all server-side services, administration portal, client SDKs, documentation, installer scripts, configuration files, and any updates or patches provided by KyotoTech LLC.
- "License" means the right to use the Software as granted under a valid license agreement between you and KyotoTech LLC, evidenced by a digitally signed license file.
- "Standard License" means a license bound to specific server hardware via a hardware fingerprint, which may include an expiration date and module restrictions.
- "Unlocked License" means a perpetual license without hardware binding or expiration, granting unrestricted use of all modules on any server infrastructure.
- "Map Data" means OpenStreetMap-derived vector tiles, routing graphs, elevation data, geocoding databases, and any other geospatial data distributed with or for use with the Software.
- "Admin Portal" means the web-based management interface for configuring API keys, user accounts, map profiles, branding, and other platform settings.
- "Client SDKs" means the software development kits provided for integrating with the platform, including but not limited to Web SDK, .NET SDK, Java SDK, MAUI SDK, and MAUI Lite SDK.
- "Managed Server" means a deployment model where KyotoTech LLC provisions, deploys, and maintains the server infrastructure on behalf of the Customer.
3. License Grant & Restrictions
License Grant
Subject to your compliance with these Terms and payment of all applicable fees, KyotoTech LLC grants you a non-exclusive, non-transferable license to install, deploy, and use the Software in accordance with the terms of your specific license type (Standard or Unlocked).
Standard License
A Standard License permits use of the Software on a single server identified by a hardware fingerprint. The license file is digitally signed and validated against the server's hardware configuration at each service startup and during API request processing. Standard Licenses may include:
- An expiration date requiring periodic renewal
- Module restrictions limiting available functionality
- Hardware binding requiring a new license upon server migration
Unlocked License
An Unlocked License permits unrestricted use of all Software modules on any server infrastructure without hardware binding or expiration. The Unlocked License is perpetual and does not require renewal.
Restrictions
Regardless of license type, you may not:
- Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except as expressly permitted by applicable law
- Modify, alter, or create derivative works based on the Software without prior written authorization
- Remove, alter, or obscure any copyright notices, license validation mechanisms, or proprietary markings in the Software
- Circumvent, disable, or tamper with license validation, hardware fingerprinting, integrity checks, or any other security mechanisms
- Sublicense, rent, lease, sell, or redistribute the Software to third parties
- Use the Software to provide mapping services to third parties as a service bureau or managed service provider, unless explicitly authorized in writing
- Transfer your license to another party without prior written consent from KyotoTech LLC
IMPORTANT: The Software will not operate without a valid, digitally signed license file. Tampering with or attempting to circumvent the license validation system constitutes a material breach of these Terms and may result in immediate termination of your license and legal action.
4. Deployment & Installation
On-Premise Deployment
The Software is designed for deployment on your own server infrastructure. You are responsible for:
- Providing server hardware meeting the minimum system requirements
- Installing and configuring the operating system (Ubuntu 22.04 or 24.04 LTS)
- Running the provided installer script
- Configuring SSL/TLS certificates for HTTPS
- Maintaining server security, including firewall rules and system updates
Managed Server Deployment
If you opt for a Managed Server deployment, KyotoTech LLC will provision, deploy, and maintain the server infrastructure on your behalf. The managed service includes server setup, Software installation, monitoring, backups, and updates. Specific terms and service level agreements for managed deployments are defined in a separate Managed Service Agreement.
Installation Support
KyotoTech LLC may provide installation support as part of your purchase agreement. Scope and availability of installation support are defined in your individual contract.
5. Data Sovereignty & Privacy
On-Premise Data Control
When deployed on-premise, all data processed by the Software remains exclusively on your server infrastructure. No data is transmitted to KyotoTech LLC or any third party. The Software operates entirely within your network and does not require an internet connection.
No Telemetry
The Software does not contain telemetry, analytics, phone-home functionality, or any mechanism that transmits data outside your server. All processing occurs locally.
Your Data
You retain full ownership of all data you input, upload, or generate using the Software, including but not limited to overlay layers, user accounts, API keys, map profiles, routing configurations, and branding assets. KyotoTech LLC claims no ownership of your data.
Data Responsibility
You are solely responsible for:
- The security of your server infrastructure and all data stored on it
- Maintaining backups of your configuration and user data
- Compliance with applicable data protection laws (GDPR, BDSG, or other applicable regulations) regarding data processed through the Software
- Access control and user management within the Admin Portal
6. Map Data & Third-Party Content
OpenStreetMap Data
The Software uses map data derived from OpenStreetMap (OSM), which is licensed under the Open Data Commons Open Database License (ODbL). You must comply with the ODbL license terms, including appropriate attribution of OpenStreetMap contributors.
Map Data Accuracy
IMPORTANT: Map data, routing results, geocoding results, and all geospatial information provided by the Software are derived from community-contributed OpenStreetMap data and may contain inaccuracies, errors, or omissions. KyotoTech LLC does not guarantee the accuracy, completeness, or currency of any map data. Map data must not be relied upon for safety-critical decisions. Always verify routing and location information through independent means.
Routing Disclaimers
Routing results, including turn-by-turn directions, travel time estimates, distance calculations, and isochrone analyses, are approximations based on available map data and routing algorithms. KyotoTech LLC does not guarantee that:
- Routes are passable, safe, or legal for your vehicle type
- Estimated travel times or distances are accurate
- Road restrictions, closures, or conditions are current
- Emergency routing profiles comply with local traffic regulations
Drivers must always obey applicable traffic laws and exercise their own judgment regardless of routing suggestions.
Data Updates
Map data updates are provided through the Software's update pipeline. The availability, frequency, and scope of updates depend on your license type and maintenance agreement. KyotoTech LLC does not guarantee the availability of updates.
7. Maintenance & Updates
Maintenance Agreement
Software updates, security patches, map data updates, and technical support are available under a separate maintenance agreement. Without an active maintenance agreement, you may continue to use the Software in its current state but will not receive updates or support.
Update Responsibility
For on-premise deployments, you are responsible for applying updates to your server. KyotoTech LLC provides update packages and documentation but does not guarantee compatibility with customized or modified installations.
Version Support
KyotoTech LLC supports the current major version and one prior major version of the Software. Older versions may not receive security patches or bug fixes.
8. User Accounts & API Keys
Account Management
The Admin Portal allows you to create and manage user accounts with role-based access control (Admin, Editor, Viewer). You are responsible for managing user accounts and access levels within your organization.
API Key Security
API keys authenticate client applications accessing the platform. You are solely responsible for:
- Securing API keys and preventing unauthorized access
- Revoking compromised API keys immediately
- All API usage associated with your keys
KyotoTech LLC shall not be liable for unauthorized access or misuse resulting from compromised API keys or admin credentials.
9. Acceptable Use
You agree not to:
- Use the Software in violation of any applicable law or regulation
- Circumvent or disable license validation or security mechanisms
- Redistribute, sublicense, or make the Software available to unauthorized third parties
- Use the Software to build a competing product or service
- Remove or modify copyright notices, attributions, or license files
- Upload malicious content through overlay import functionality
- Attempt to gain unauthorized access to platform components or data
Violation of these terms may result in immediate termination of your license without refund.
10. Disclaimer of Warranties
THE SOFTWARE, MAP DATA, ROUTING RESULTS, GEOCODING RESULTS, AND ALL ASSOCIATED SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
To the fullest extent permitted by applicable law, KyotoTech LLC expressly disclaims all warranties, including but not limited to:
- Merchantability — we do not warrant that the Software will meet your requirements
- Fitness for a particular purpose — we do not warrant that the Software is suitable for emergency operations, safety-critical systems, or any specific use case
- Accuracy — we do not warrant the accuracy of map data, routing results, geocoding results, or elevation data
- Availability — we do not warrant uninterrupted or error-free operation
- Compatibility — we do not warrant compatibility with all hardware configurations, operating systems, or network environments
- Data integrity — we do not warrant that your data will be preserved or recoverable in all circumstances
- Security — we do not warrant that the Software is immune to all security vulnerabilities
You acknowledge that you use the Software entirely at your own risk and that the Software should not be the sole basis for safety-critical operational decisions.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KYOTOTECH LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, REGARDLESS OF THE CAUSE OF ACTION OR THEORY OF LIABILITY.
This limitation applies to, but is not limited to, damages arising from:
- Inaccurate routing results, map data, or geocoding information
- Decisions made based on information provided by the Software
- Service downtime or unavailability
- Data loss, corruption, or unauthorized access on your server
- Errors in emergency routing profiles or response time calculations
- Compatibility issues with your hardware or network infrastructure
- Actions of third parties, including users of your deployed platform
- Failure to apply available updates or security patches
Maximum Liability
In any event, the total cumulative liability of KyotoTech LLC for all claims arising out of or related to these Terms or the Software shall not exceed the license fees actually paid by you to KyotoTech LLC in the twelve (12) months preceding the claim.
12. Indemnification
You agree to defend, indemnify, and hold harmless KyotoTech LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:
- Your use or deployment of the Software
- Decisions made based on routing, map, or geocoding data provided by the Software
- Your violation of these Terms or your license agreement
- Your failure to maintain server security, apply updates, or manage access controls
- Claims by your end users or third parties related to your deployed platform
- Your violation of applicable laws, including data protection regulations
- Content uploaded through the overlay import functionality
13. Intellectual Property
All intellectual property rights in the Software, including source code, compiled binaries, architecture, algorithms, documentation, branding, logos, and trade names, are owned by or licensed to KyotoTech LLC and are protected by international copyright, trademark, and other intellectual property laws.
Your license grants you the right to use the Software as specified; it does not transfer ownership of any intellectual property. White-label customization (logos, colors, application name) does not constitute a transfer of IP rights.
Client SDKs are provided for integration purposes only. You may distribute applications built with Client SDKs to your authorized end users, but you may not distribute the SDKs themselves as standalone components.
14. Termination
License Expiration
Standard Licenses with expiration dates will cease to function upon expiration. Services will not start without a valid license. Renewal requires a new license file from KyotoTech LLC.
Termination by KyotoTech
We may terminate your license immediately and without prior notice if:
- You materially breach these Terms
- You attempt to circumvent license validation or security mechanisms
- You redistribute the Software without authorization
- You fail to pay applicable license or maintenance fees
Effect of Termination
Upon termination:
- All rights granted under your license terminate immediately
- You must cease all use of the Software and destroy all copies
- You may retain your own data (overlay layers, configurations, user data) but must remove all Software components
- Sections relating to Disclaimer of Warranties, Limitation of Liability, Indemnification, Intellectual Property, and Governing Law shall survive termination
Unlocked License
Unlocked Licenses are perpetual and do not expire. However, the license may still be terminated for material breach of these Terms.
15. Force Majeure
KyotoTech LLC shall not be liable for any failure or delay in performing its obligations under these Terms due to causes beyond its reasonable control, including but not limited to:
- Natural disasters (earthquakes, floods, typhoons, tsunamis)
- Pandemics or epidemics
- War, terrorism, civil unrest, or government actions
- Power outages, internet or telecommunications failures
- Cyberattacks or other malicious interference
- Failures of third-party service providers or infrastructure
- Changes in OpenStreetMap data availability or licensing
- Changes in applicable law or regulation
16. Dispute Resolution
Governing Law
These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to conflict of law principles.
Jurisdiction
Any dispute, controversy, or claim arising out of or relating to these Terms or the Software shall be subject to the exclusive jurisdiction of the Kyoto District Court (京都地方裁判所) as the court of first instance.
Informal Resolution
Before filing any formal dispute, you agree to first contact us at support@kyototech.co.jp and attempt to resolve the dispute informally for at least thirty (30) days.
Language
These Terms are provided in English. In the event of any inconsistency between this English version and any translated version, the English version shall prevail.
17. Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Waiver of Class and Collective Actions
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND KYOTOTECH LLC AGREE THAT ANY DISPUTES, CLAIMS, OR CONTROVERSIES ARISING OUT OF OR RELATING TO THESE TERMS OR THE SOFTWARE SHALL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY.
YOU EXPRESSLY WAIVE ANY RIGHT TO:
- Participate in a class action, collective action, or representative action against KyotoTech LLC
- Participate in class-wide arbitration or any arbitration involving joint or consolidated claims
- Act as a private attorney general or in any other representative capacity
- Combine your claim with the claims of any other person or entity
Jury Trial Waiver
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND KYOTOTECH LLC WAIVE ANY RIGHT TO A JURY TRIAL FOR ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SOFTWARE.
Opt-Out Right (U.S. Users)
If you are located in the United States, you may opt out of this Class Action Waiver by sending written notice to support@kyototech.co.jp within thirty (30) days of first accepting these Terms. Your notice must include your full name, email address, and a clear statement that you wish to opt out of the Class Action Waiver.
18. Changes to These Terms
KyotoTech LLC reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the effective date. For license holders with active maintenance agreements, we will also provide notice via email.
Your continued use of the Software after such changes constitutes your acceptance of the modified Terms. If you do not agree with the modified Terms, you must stop using the Software.
19. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
